Terms of Service

1. Acceptance of Terms

By accessing or using Memorai ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Memorai is a macOS application that provides a floating, overlay browser window. The Service requires an active subscription or lifetime license to use.

3. Account Registration

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You may not share your account or license with others.
  • One license is valid for one macOS device at a time.

4. Subscription Plans & Billing

  • Day Pass ($25 USD / $35 CAD): One-time payment for 24 hours of access. Does not auto-renew.
  • Weekly Plan ($64 USD / $90 CAD per week): Billed automatically each week. Cancel anytime.
  • Monthly Plan ($124 USD / $170 CAD per month): Billed automatically each month. Cancel anytime.
  • Lifetime Plan ($354 USD / $480 CAD): One-time payment for perpetual access, including all future updates. Does not auto-renew.

Prices are displayed in United States Dollars (USD) by default. Customers with a Canadian billing address are charged in Canadian Dollars (CAD) at the rates listed above. Customers in other regions may be presented with prices in their local currency at checkout, converted by Stripe at the prevailing exchange rate. Where no local currency is offered, the customer's card issuer performs the conversion. The Weekly and Monthly plans auto-renew unless cancelled before the end of the current billing period. You can cancel your subscription at any time from your dashboard. The Day Pass and Lifetime Plan are one-time purchases and do not auto-renew.

5. Refund Policy

All purchases are final and non-refundable except where required by law.

If you believe there was a billing error or technical issue with your purchase, contact us at memorai.help@gmail.com . Refund requests are reviewed on a case-by-case basis and are not guaranteed.

Weekly and monthly plans are recurring subscriptions. Your payment method will be charged automatically at the billing interval shown at checkout until you cancel. You are responsible for cancelling your subscription before the next renewal date. Cancelling stops future charges but does not automatically refund or prorate charges already paid, except where required by law or approved by Memorai.

Memorai is not responsible for renewal charges caused by a subscription not being cancelled before the next billing date, except where required by law.

6. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the application.
  • Redistribute, resell, or sublicense the software.
  • Use the Service to violate any applicable laws or regulations.
  • Attempt to circumvent license verification mechanisms.

You are solely responsible for how you use Memorai and any consequences that arise from its use. Memorai is a general-purpose browser overlay tool. We do not endorse or encourage any specific use case.

7. Intellectual Property

Memorai and all associated code, design, and branding are the exclusive property of Memorai. Your subscription grants you a limited, non-exclusive, non-transferable license to use the software for personal purposes.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or compatible with all software or systems.

9. Limitation of Liability

To the maximum extent permitted by law, Memorai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms. Upon termination, your license to use the software is immediately revoked.

11. Changes to Terms

We may modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the updated terms. Material changes will be communicated via email.
